1. Acceptance of Terms
Welcome to Celereum. These Terms of Service ("Terms") govern your access to and use of the Celereum website, blockchain network, decentralized applications, wallets, and all related services (collectively, the "Services") provided by Celereum Foundation ("we," "us," or "our").
Important Agreement
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services. Please read these Terms carefully before using Celereum.
These Terms constitute a legally binding agreement between you and Celereum Foundation. You represent that you have the legal capacity to enter into these Terms.
2. Eligibility
To use our Services, you must:
- Be at least 18 years old or the age of majority in your jurisdiction
- Have the legal capacity to enter into binding contracts
- Not be prohibited from using our Services under applicable laws
- Not be located in, or a citizen or resident of, any jurisdiction where the Services are restricted
- Not be on any sanctions list or subject to sanctions by any governmental authority
Geographic Restrictions
Our Services are not available to residents of jurisdictions where cryptocurrency trading or blockchain services are prohibited. You are responsible for compliance with local laws and regulations.

Celereum provides the following Services:

4. Your Account and Wallet
4.1 Self-Custody
Celereum is a non-custodial platform. You are solely responsible for:
- Safeguarding your private keys and seed phrases
- Maintaining the security of your wallet and devices
- All activities that occur under your wallet address
- Any losses resulting from unauthorized access to your wallet
4.2 No Recovery
Critical Warning
We cannot recover lost private keys, seed phrases, or passwords. If you lose access to your wallet, your assets may be permanently lost. We strongly recommend backing up your recovery phrases in multiple secure locations.
5. Prohibited Activities
You agree not to engage in any of the following prohibited activities:
Illegal Activities
- Money laundering
- Terrorist financing
- Tax evasion
- Fraud or scams
Market Manipulation
- Wash trading
- Pump and dump schemes
- Front-running
- Price manipulation
Technical Abuse
- Hacking or unauthorized access
- Deploying malicious code
- DDoS attacks
- Exploiting vulnerabilities
Other Violations
- Circumventing restrictions
- Impersonation
- Spreading misinformation
- Violating third-party rights
6. Blockchain and Cryptocurrency Risks
By using our Services, you acknowledge and accept the following risks:
6.1 Price Volatility
Cryptocurrency prices are highly volatile. The value of CEL tokens and other digital assets may fluctuate significantly and you may lose all or a substantial portion of your investment.
6.2 Technology Risks
- Smart contract bugs or vulnerabilities
- Blockchain network congestion or failures
- Consensus mechanism attacks (51% attacks)
- Software errors or unexpected behavior
6.3 Regulatory Risks
The regulatory status of cryptocurrencies varies by jurisdiction and is subject to change. Future regulations may adversely affect the use, transfer, or value of digital assets.
6.4 Irreversibility
Transaction Finality
Blockchain transactions are irreversible. Once confirmed, transactions cannot be cancelled, reversed, or refunded. Always verify transaction details carefully before confirming.
7. Intellectual Property
7.1 Our Property
The Celereum name, logo, website content, and proprietary technology are owned by Celereum Foundation and protected by intellectual property laws. You may not use our trademarks without prior written permission.
7.2 Open Source
Certain components of Celereum are open source and licensed under the MIT License. Open source code may be used in accordance with the applicable license terms.
7.3 User Content
You retain ownership of any content you create on our platform. By submitting content, you grant us a non-exclusive, worldwide license to use, display, and distribute such content in connection with our Services.

IMPORTANT DISCLAIMERS
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.
WE DO NOT PROVIDE INVESTMENT, TAX, OR LEGAL ADVICE. YOU SHOULD CONSULT QUALIFIED PROFESSIONALS BEFORE MAKING ANY FINANCIAL DECISIONS.
9. Limitation of Liability
LIABILITY CAP
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CELEREUM FOUNDATION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS OR (B) $100 USD.
10. Indemnification
You agree to indemnify, defend, and hold harmless Celereum Foundation, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of our Services
- Your violation of these Terms
- Your violation of any third-party rights
- Your violation of applicable laws or regulations
11. Termination
We may suspend or terminate your access to our Services at any time, with or without cause, and with or without notice. Grounds for termination include:
- Violation of these Terms
- Engaging in prohibited activities
- Legal or regulatory requirements
- Conduct harmful to other users or the network
Upon termination, your right to use our Services will immediately cease. Note that blockchain data and on-chain transactions remain on the public ledger and cannot be deleted.
12. Governing Law and Dispute Resolution
12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Switzerland, without regard to its conflict of law provisions.
12.2 Dispute Resolution
Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the Swiss Chambers' Arbitration Institution.
12.3 Class Action Waiver
You agree to resolve any disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by:
- Posting the updated Terms on our website
- Updating the "Last Updated" date
- Sending notification through our Services (for significant changes)
Your continued use of our Services after changes become effective constitutes your acceptance of the revised Terms.
